Position:	Associate Counsel
Location:	Pleasanton, California

Position Summary:

IronPlanet is searching for an Associate Counsel in our Pleasanton, CA office. The successful candidate will have at least three to five years experience with a law firm or in-house corporate legal department. The Associate Counsel will provide legal support on a wide range of legal matters, including general corporate matters, regulatory responsibilities, SEC/NASDAQ compliance, employment/HR matters, risk management, and intellectual property in support of a variety of business operations.

Primary Functions / Responsibilities:

GENERAL CORPORATE MATTERS

Be an Active Management Team Member
Draft/Review Corporate/Commercial Agreements
Negotiate Agreements with Customers
Coordinate with Outside Foreign Counsel
Maintain/Review Website/Site Content
Maintain Terms of Use/Privacy Policies
Coordinate with Investor Relations group to draft and distribute press releases
Act as a liaison for stockholder, option holder, or investor questions

REGULATORY RESPONSIBILITIES

Monitor U.S. and International Business and Regulatory Environment
Initiate Regulatory Compliance Activities (Auctioneer, Motor Vehicle Dealer, Money Services Business)

SEC/NASDAQ COMPLIANCE

Coordinate Non-Financial Periodic Filings

EMPLOYMENT/HR MATTERS

HR Policies

RISK MANAGEMENT

Insurance Coverage
Disputes, Arbitration, Resolution Management

INTELLECTUAL PROPERTY

Maintain IP Portfolio
Assist outside counsel

Education and Experience Required:

JD from an accredited law school
License to practice law in CA
Three to five years experience with a law firm or in-house corporate legal department

Knowledge, Skills and Abilities:

Experience with a wide range or corporate, commercial and international matters
Excellent problem solving abilities and negotiation skills
Strong oral and written communication skills
Strong interpersonal skills
Strong analytical and critical thinking skills
Self-starter and able to handle multiple ongoing projects

Physical Requirements:

Near constant computer and mouse work
Some domestic and international travel may be required

Compensation:

Salary range of $140,000 - $165,000/year, plus equity/stock options
